ChurchFamilyOnline.com is a managed software service that helps church leaders and members stay in touch with each other. ChurchFamilyOnline.com is operated by Brently Software, LLC and the "ChurchFamilyOnline.com Technology" including software programs and databases, are hosted in the United States of America. The ChurchFamilyOnline.com Services refers to the ChurchFamilyOnline.com website and any additional services accessible from the website, regardless of whether such services are provided by Brently Software, LLC. directly or in association with third-party affiliates.
ChurchFamilyOnline.com Services are available for use in one of three levels of membership:
1) Church Office Level. No fee - Free.
2) Church Group Level. Fees apply.
3) Church Family Level. Fees apply.
Your most recent ChurchFamilyOnline.com Service membership level election determines the ChurchFamilyOnline.com Service features you may access and various other usage characteristics and the cost associated with the service level you select.
1. General Use Agreement Terms
This agreement ("Agreement") describes the legally binding terms for your use of the ChurchFamilyOnline.com Services. By using the ChurchFamilyOnline.com Services, you agree to be bound by the terms of this Agreement. Regardless of whether or not your use of the ChurchFamilyOnline.com Services is intentional or inadvertent, you are only authorized to use the ChurchFamilyOnline.com Services if you agree to abide by all applicable laws and the terms and conditions of this Agreement.
An "Administrator" is a person who is properly authorized by a church governing body to bind the church to the terms of this Agreement. If you register as an Administrator, you are representing to Brently Software, LLC. that you have the authority of our church or organization's governing board to bind such entity to these terms and conditions. If you do not have such authority, or if you do not agree with these terms and conditions, you must decline Membership and cease all use of the ChurchFamilyOnline.com Services.
A "User" is any person, regardless of any legal entity represented, who uses the ChurchFamilyOnline.com Services as authorized by an Administrator. If you do not have authority from an Administrator, or if you do not agree with these terms and conditions, you must decline Membership and cease all use of the ChurchFamilyOnline.com Services.
A "Member" and "Membership" refer to the Administrator and/or system Users.
Registration is required for both Administrator and User to activate membership status.
A Member is any person who has completed the registration process and whose membership is active.
Please read this Agreement carefully and save it. If you do not agree with it, you should leave the ChurchFamilyOnline.com Website and discontinue use of the ChurchFamilyOnline.com Services immediately. Before you become an Administrator or Member, you must read this Agreement and indicate your acceptance when requested during the Registration process.
This Agreement includes Brently Software, LLC's policy for acceptable use of the ChurchFamilyOnline.com Services and Content posted on the ChurchFamilyOnline.com Website, your rights, obligations and restrictions regarding your use of the ChurchFamilyOnline.com Services and ChurchFamilyOnline.com's Privacy Policy. You may request a copy of this Agreement by emailing us at: , and include the words "Terms of Use Agreement" in the Subject Line.
2. Right to Make Changes.
Brently Software, LLC reserves the right to make changes to this Agreement. When we make changes, the new agreement will become effective when the changes are posted on the ChurchFamilyOnline.com website. You agree to be bound to any changes to this Agreement when you use the ChurchFamilyOnline.com Services after any such change. It is your responsibility to periodically review the current Agreement and abide by all terms and conditions it contains.
Data made available via the ChurchFamilyOnline.com Service may be provided by Administrators and/or Users. Administrators and Users posting data assume all responsibility for the data posted, including but not limited to claims of authorship, ownership, correctness, and liability. Brently Software, LLC reserves the right to remove any or all data provided by Administrators or Users that violate the terms of the Agreement, the Privacy Policy, or any applicable laws at any time, without prior notice and without liability when, in good faith, we believe such action is in the best interest of Brently Software, LLC.
3. License Grant & Restrictions
Brently Software, LLC hereby grants you a non-exclusive, non-transferable, worldwide right to use the Service, solely for your own church purposes, subject to the terms and conditions of this Agreement. All rights not expressly granted to you are reserved by Brently Software, LLC and its licensors.
You may not access the Service if you are a direct competitor of Brently Software, LLC, except with Brently Software, LLC's prior written consent. In addition, you may not access the Service for purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes.
You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Service or the Content in any way; (ii) modify or make derivative works based upon the Service or the Content; (iii) create Internet "links" to the Service or "frame" or "mirror" any Content on any other server or wireless or Internet-based device; or (iv) reverse engineer or access the Service in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the Service. This license cannot be shared or used by more than one church.
You may use the Service only for your church and membership purposes and you may not: (i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (ii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights; (iii) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (iv) interfere with or disrupt the integrity or performance of the Service or the data contained therein; or (v) attempt to gain unauthorized access to the Service or its related systems or networks.
4. Eligibility.
Use of and membership in the ChurchFamilyOnline.com Services is void where prohibited. By using the ChurchFamilyOnline.com Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are authorized by the church you represent to have either Administrator or User access,(d) your use of the ChurchFamilyOnline.com Services does not violate any applicable law or regulation. Your church or membership rights and all associated data and ChurchFamilyOnline.com Service access rights may be suspended or deleted if we believe any of these condition are not being met.
5. Term.
This Agreement shall remain in full force and effect while you use the ChurchFamilyOnline.com Services and your membership is valid. You may terminate your Membership at any time, for any reason, by providing timely notice of termination to Brently Software, LLC. In the event this Agreement is terminated (other than by reason of your breach), Brently Software, LLC will make available to you a file of the data posted by you to the terminated account within 30 days of termination if you so request at the time of termination. Brently Software, LLC reserves the right to withhold, remove and/or discard Customer Data without notice for any breach, including, without limitation, your non-payment for a fee-based membership. Upon termination for cause, your right to access or use ChurchFamilyOnline.com Services immediately ceases, and Brently Software, LLC shall have no obligation to maintain or forward any data. Brently Software, LLC may terminate your membership at any time, without warning. When Membership is terminated, portions of this this Agreement will remain in effect, including sections 7, 13, 14, 16,18, 19, and 22
6. Usage Fees.
Various ChurchFamilyOnline.com Services incur usage and other fees, and Brently Software, LLC reserves the right to change these fees from time to time at its sole discretion. You must pay any fees associated with the membership level you select. Failure to make timely payment of fees will result in your Membership being suspended or terminated. If ChurchFamilyOnline.com determines you have breached this Agreement, your Membership may be terminated and you will not be entitled to a refund of the unused portion of any fees paid in advance.
7. Intellectual Property Ownership
Brently Software, LLC alone (and its licensors, where applicable) shall own all right, title and interest, including all related Intellectual Property Rights, in and to the ChurchFamilyOnline.com Services technology, any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Service. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the ChurchFamilyOnline.com Services, the ChurchFamilyOnline.com technology or the Intellectual Property Rights owned by Brently Software, LLC. The ChurchFamilyOnline.com name, the ChurchFamilyOnline.com logo, and the product names associated with the ChurchFamilyOnline.com Service are trademarks of Brently Software, LLC or third parties, and no right or license is granted to you for their use.
8. Password.
When you activate your Membership, you are required to create a user name and password. You are entirely responsible for maintaining the confidentiality of this information. You further agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify ChurchFamilyOnline.com immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
9. Non-commercial Use by Members.
The ChurchFamilyOnline.com Services are for the administrative and personal use of the Administrator and User only, and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by a the authorized Administrator. Illegal use of ChurchFamilyOnline.com Services are prohibited at all times. Illegal and/or unauthorized use of the ChurchFamilyOnline.com Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the ChurchFamilyOnline.com Website is prohibited. Appropriate legal action will be taken for any illegal or unauthorized use of the ChurchFamilyOnline.com Services.
10. Third Party Interactions
During use of the ChurchFamilyOnline.com Services, you may enter into correspondence with, purchase goods and/or services from, or participate in promotions of advertisers or sponsors showing their goods and/or services through the ChurchFamilyOnline.com Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third-party. Brently Software, LLC and its licensors shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third-party. Brently Software, LLC does not endorse any sites on the Internet that are linked through the ChurchFamilyOnline.com Services. Brently Software, LLC provides these links to you only as a matter of convenience, and in no event shall Brently Software, LLC or its licensors be responsible for any content, products, or other materials on or available from such sites. Brently Software, LLC provides the ChurchFamilyOnline.com Service to you pursuant to the terms and conditions of this Agreement. You recognize, however, that certain third-party providers of ancillary software, hardware or services may require your agreement to additional or different license or other terms prior to your use of or access to such software, hardware or services.
11. Proprietary Rights in Content on ChurchFamilyOnline.com.
ChurchFamilyOnline.com does not claim any ownership rights in the text, photos, images, or any other materials (collectively, "Content") that Administrators or Users post to the ChurchFamilyOnline.com Services. After posting your Content to the ChurchFamilyOnline.com Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through the ChurchFamilyOnline.com Services, you hereby grant to ChurchFamilyOnline.com a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through the ChurchFamilyOnline.com Services. The license does not grant Brently Software, LLC the right to sell your Content, nor does the license grant Brently Software, LLC the right to distribute your Content outside of the ChurchFamilyOnline.com Services.
You represent and warrant that: (i) you own the Content posted by you on or through the ChurchFamilyOnline.com Services or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the ChurchFamilyOnline.com Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through the ChurchFamilyOnline.com Services. The ChurchFamilyOnline.com Services contain Content of ChurchFamilyOnline.com ("ChurchFamilyOnline.com Content"). ChurchFamilyOnline.com Content is protected by copyright, trademark, patent, trade secret and other laws, and Brently Software, LLC owns and retains all rights in the ChurchFamilyOnline.com Content and the ChurchFamilyOnline.com Services. ChurchFamilyOnline.com hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the ChurchFamilyOnline.com Content (excluding any software code) solely for your use in connection with viewing the ChurchFamilyOnline.com Website and using the ChurchFamilyOnline.com Services. The ChurchFamilyOnline.com Services contain Content of Administrators and Users and other ChurchFamilyOnline.com licensors. Except for Content posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the ChurchFamilyOnline.com Services. Brently Software, LLC may delete any Content that in the sole judgment of Brently Software, LLC violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. Brently Software, LLC assumes no responsibility for monitoring the ChurchFamilyOnline.com Services for inappropriate Content or conduct. If at any time Brently Software, LLC chooses, in its sole discretion, to monitor the ChurchFamilyOnline.com Services, Brently Software, LLC nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the Administrator or User submitting any such Content. You are solely responsible for the Content that you post on or through any of the ChurchFamilyOnline.com Services. Brently Software, LLC does not endorse and has no control over the Content. Content is not necessarily reviewed by Brently Software, LLC prior to posting and does not necessarily reflect the opinions or policies of Brently Software, LLC. Brently Software, LLC makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any.
12. Prohibited Activities.
The following is a partial list of the kind of activity that is illegal or prohibited on the ChurchFamilyOnline.com Website and through your use of the ChurchFamilyOnline.com Services. Brently Software, LLC reserves the right to investigate and take appropriate legal action against anyone who, in Brently Software, LLC's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities and/or terminating your Membership and access to ChurchFamilyOnline.com Services. Prohibited activity includes, but is not limited to: spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets; advertising to, or solicitation of, any Member to buy or sell any products or services through the ChurchFamilyOnline.com Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the ChurchFamilyOnline.com Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the ChurchFamilyOnline.com Services, you acknowledge that you will have caused substantial harm to ChurchFamilyOnline.com, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay ChurchFamilyOnline.com $1 for each such unsolicited email or other unsolicited communication you send through the ChurchFamilyOnline.com Services; any automated use of the system, such as using scripts not provided by ChurchFamilyOnline.com to create email lists; interfering with, disrupting, or creating an undue burden on the ChurchFamilyOnline.com Services or the networks or services connected to the ChurchFamilyOnline.com Services; attempting to impersonate another Member or person; selling or otherwise transferring your Membership access; using any information obtained from the ChurchFamilyOnline.com Services in order to harass, abuse, or harm another person;
13. Copyright Policy.
You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. This includes, but is not limited to, photographs taken by someone other than yourself. It is the policy of Brently Software, LLC to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of prompt notification to Brently Software, LLC by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the ChurchFamilyOnline.com Services in a way that constitutes copyright infringement, please provide us with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the ChurchFamilyOnline.com Services; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. 14. Disclaimer of Warranties
BRENTLY SOFTWARE, LLC. AND ITS LICENSORS MAKE NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE CHURCHFAMILYONLINE.COM SERVICES OR ANY CONTENT. BRENTLY SOFTWARE, LLC AND ITS LICENSORS DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE CHURCHFAMILYONLINE.COM SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (B) THE CHURCHFAMILYONLINE.COM SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE CHURCHFAMILYONLINE.COM SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (E) ERRORS OR DEFECTS WILL BE CORRECTED, OR (F) THE CHURCHFAMILYONLINE.COM SERVICES OR THE SERVER(S) THAT MAKE THE CHURCHFAMILYONLINE.COM SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SERVICE AND ALL CONTENT IS PROVIDED TO YOU STRICTLY ON AN "AS IS" BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY BRENTLY SOFTWARE, LLC AND ITS LICENSORS.
Brently Software, LLC is not responsible for any incorrect or inaccurate Content posted on the ChurchFamilyOnline.com Website or in connection with the ChurchFamilyOnline.com Services, whether caused by Administrators or Users of the ChurchFamilyOnline.com Services or by any of the equipment or programming associated with or utilized in the ChurchFamilyOnline.com Services. Brently Software, LLC is not responsible for the conduct, whether online or offline, of any Administrator or User of the ChurchFamilyOnline.com Services. Brently Software, LLC assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any Administrator or User communication. Brently Software, LLC is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email due to technical problems or traffic congestion on the Internet or on any of the ChurchFamilyOnline.com Services or combination thereof, including any injury or damage to Members or to any person's computer related to or resulting from participation or downloading materials in connection with the ChurchFamilyOnline.com Services. Under no circumstances shall Brently Software, LLC be responsible for any loss or damage, including personal injury or death, resulting from use of the ChurchFamilyOnline.com Services, or from the conduct of any Administrators or Users of the ChurchFamilyOnline.com Services, whether online or offline. The ChurchFamilyOnline.com Services are provided "AS-IS" and as available and Brently Software, LLC expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Brently Software, LLC cannot guarantee and does not promise any specific results from use of the ChurchFamilyOnline.com Services.
15. Internet Delays
THE CHURCHFAMILYONLINE.COM SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. BRENTLY SOFTWARE, LLC. IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.
16. Limitation of Liability
IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY AND/OR DUE FROM YOU IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL EITHER PARTY AND/OR ITS LICENSORS BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE CHURCHFAMILYONLINE.COM SERVICE, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE CHURCHFAMILYONLINE.COM SERVICE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE CHURCHFAMILYONLINE.COM SERVICE, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE IN THE CONTENT, EVEN IF THE PARTY FROM WHICH DAMAGES ARE BEING SOUGHT OR SUCH PARTY'S LICENSORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold ChurchFamilyOnline.com, Brently Software, LLC, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the ChurchFamilyOnline.com Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the ChurchFamilyOnline.com Website or through the ChurchFamilyOnline.com Services causes Brently Software, LLC to be liable to another.
17. Additional Rights
Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental, consequential or certain other types of damages, so the exclusions set forth above may not apply to you.
18. U.S. Export Controls.
Software available in connection with the ChurchFamilyOnline.com Services is further subject to United States export controls. No Software may be downloaded from the ChurchFamilyOnline.com Website or otherwise exported or re-exported in violation of U.S. export laws.
19. Disputes.
If there is any dispute about or involving the ChurchFamilyOnline.com Services, you agree that the dispute shall be governed by the laws of the State of Montana, USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of Montana, City of Bozeman. Either Brently Software, LLC or you may demand that any dispute between Brently Software, LLC and you about or involving the ChurchFamilyOnline.com Services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Bozeman, Montana, USA, provided that the foregoing shall not prevent Brently Software, LLC from seeking injunctive relief in a court of competent jurisdiction.
20. Privacy.
Use of the ChurchFamilyOnline.com Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.
21. Assignment & Change in Control
This Agreement may not be assigned by you without the prior written approval of Brently Software, LLC but may be assigned without your consent by Brently Software, LLC to (i) a parent or subsidiary, (ii) an acquirer of assets, or (iii) a successor by merger. Any purported assignment in violation of this section shall be void.
22. Other
This Agreement is accepted upon your use of the ChurchFamilyOnline.com Website or any of the ChurchFamilyOnline.com Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and ChurchFamilyOnline.com regarding the use of the ChurchFamilyOnline.com Services. The failure of ChurchFamilyOnline.com to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
